YORUBA LANGUAGE SCHOOL BOARD

The Yoruba Language School board is accountable to the members of the company, students,

parents and the whole school community for the conduct, performance, and culture of Yoruba

Language School Australia Ltd. The board will steer the organisation through the following:

1. Strategic planning - setting the operational direction of Yoruba Language School Australia Ltd

2. Stewardship’s role – making sure Yoruba Language School Australia have a plan in place to

meet its obligations as an independent community language School and that its activities

reflect Yoruba Language School’s values.

It is aimed that Directors do not participate in the day-to-day management of the company, that

is the role of the principal. However, at this initial stage one of the directors is the principal

pending full establishment and capacity to fund School Principal.

ROLES AND DUTIES OF YORUBA LANGUAGE SCHOOL AUSTRALIA BOARD OF DIRECTORS

  • Provision of strategic guidance for the school and to effectively oversee and review the

school’s management statement. Governance practices require the school to formalise

and disclose the roles and responsibilities of the school board and its members.

  • Risk management including child safe and reputational risk management.

The School Board is committed to good governance and will:

  • Provide strategic direction and set goals.

  • Act to exemplify and reinforce the school’s core values and ethos.

  • Oversee all aspect of the school, including its control and accountability systems, and

approve the expenditure and capital budgets.

  • Appoint the Principal and appraise.

  • Develop and maintain healthy relationships with key stakeholders and develop effective

communication channels.

  • Set the tone and the ethical standards of the school.

  • Review and plans and budgets

  • Set and review the school’s vision, Mission, and Values

  • Be attentive to the matter of Board and Principal succession.

  • Review and monitor adherence to systems of risk management, governance compliance and legal compliance.

  • Monitor organisational performance.

  • Conduct an annual review of the Board’s performance (i.e Board Appraisal)

  • Maintain the solvency of the school and all relevant obligations under the Corporations Act

  • Board members must always and unwaveringly act in the best interest of the school and must act honestly, fairly, loyally, in good faith, and with integrity.

  • Recognise that in all deliberations as a member of the school board, all directors must have regard to the overriding principle of the duty to act in the best interests of the school, irrespective of any personal or other interests.

COMPANY MEMBERSHIP

As a parent or guardian of a student enrolled at the Yoruba Language School Australia Ltd, you are

eligible for membership of the Company. Please refer to clause 6 of the constitution for

membership information

Please complete membership application form online and pay for the membership fee if you wish to

apply for membership. You can also contact the company secretary for further information and

referral to board for membership approval.

OPPORTUNITIES TO GET INVOLVED:

1. Attend General Annual meetings (for members of the company) and vote on issues such as:

  • Acceptance of annual financial statements and reports

  • Election of Directors of the company

  • Changes to the constitution

  • Nominating and voting for candidates for the Board of Directors (annually)

2. Consider making yourself available for the position of Director of the company.
